2. Acceptance of Terms
By browsing this website, submitting a contact form, or entering into a service engagement with Pelagic Helm, you signify your acceptance of these Terms. If you do not agree with any provision, please discontinue use of the website and do not proceed with any engagement.
You must be at least 18 years of age and possess the legal authority to enter into binding agreements. If you are accessing this site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Description of Services
Pelagic Helm offers business consulting services focused on market entry planning, organisational design, and financial performance review. All services are delivered according to the scope, timelines, and fees outlined in a written engagement proposal or letter agreed upon by both parties before work commences.
We reserve the right to modify our service offerings, adjust pricing, or update engagement terms at any time. Any changes to an active engagement will be communicated in writing and require mutual agreement.
4. Engagement Process
Each consulting engagement follows a defined process:
- An initial enquiry is submitted through our contact form or by reaching out directly.
- We arrange an introductory conversation to discuss your situation and objectives.
- A written proposal is provided outlining scope, deliverables, timeline, and fees.
- Upon your written acceptance of the proposal, work begins according to the agreed schedule.
No binding obligations arise for either party until a proposal or engagement letter has been mutually accepted in writing.
5. User Responsibilities
When using this website or engaging our services, you agree to:
- Provide accurate and complete information in any forms or communications.
- Respect the intellectual property and proprietary information of Pelagic Helm.
- Use the website only for lawful purposes and in a manner consistent with these Terms.
- Cooperate with reasonable requests for information or access necessary to fulfil agreed-upon deliverables.
You agree not to use this website or our services for any unlawful purpose, to upload harmful code, to impersonate another party, or to interfere with the website's functionality.
6. Intellectual Property
All content on this website — including text, graphics, design elements, logos, and document templates — is the property of Pelagic Helm or its licensors and is protected under applicable intellectual property laws of Hong Kong and international jurisdictions.
Deliverables produced during a consulting engagement become the client's property upon receipt of full payment, unless otherwise specified in the engagement letter. However, Pelagic Helm retains the right to use methodologies, frameworks, and generalised knowledge developed during any engagement for future work.
7. Payment Terms
Fees for consulting services are quoted in Hong Kong Dollars (HK$) and are payable in accordance with the schedule set out in each engagement proposal. Unless otherwise agreed:
- A deposit may be requested prior to commencement of work.
- Remaining fees are invoiced upon delivery of final reports or at milestones defined in the proposal.
- Payment is due within 14 days of the invoice date.
- Late payments may incur an administrative charge of 1.5% per month on outstanding amounts.
Pelagic Helm reserves the right to pause or suspend active work if payments are not received within the agreed timeframe.
8. Cancellation and Refunds
Either party may propose a cancellation or modification to an active engagement. If you wish to cancel:
- Cancellation before work commences: full refund of any deposit paid.
- Cancellation during the engagement: fees for completed work to date will be invoiced on a pro-rata basis. Any unused deposit will be returned.
- Cancellation requests should be submitted in writing to legal@pelagichelm.
Pelagic Helm may terminate an engagement if the client materially breaches these Terms, fails to provide necessary cooperation, or does not meet payment obligations after reasonable notice.
9. Confidentiality
Both parties agree to treat as confidential any proprietary information shared during the course of an engagement. This includes business data, financial records, strategic plans, and engagement deliverables. Confidentiality obligations survive the termination of any engagement for a period of two years, unless a longer period is specified in the engagement letter.
10. Disclaimers
Consulting services are provided on an advisory basis. Pelagic Helm does not make representations or warranties regarding specific business outcomes. All advice, reports, and deliverables are based on the information available at the time and represent our professional assessment — they should not be taken as a substitute for independent legal, financial, or tax advice.
This website and its contents are provided on an "as-is" basis. While we take care to ensure accuracy, we do not warrant that the website will be error-free, uninterrupted, or free from harmful components.

We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold harmless Pelagic Helm, its directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from your breach of these Terms, misuse of this website, or any third-party claims related to your use of our services.
13. Force Majeure
Neither party shall be liable for delays or failure to perform obligations under these Terms resulting from events beyond reasonable control. Such events include, but are not limited to, natural disasters, government actions, epidemics, civil unrest, infrastructure failures, and disruptions to telecommunications or internet services.

- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: A failure by either party to enforce any right under these Terms does not constitute a waiver of that right.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Pelagic Helm may assign its rights or obligations to a successor entity.
- Notices: Any notices under these Terms should be sent to legal@pelagichelm or to our business address at 15 Queen's Road East, Unit 706, Wan Chai, Hong Kong.
